Biofuels Technology Acquisition Integration – North America
Description of Project
The assets purchased included a world class technology centre in San Diego, demonstration facility in Louisiana, significant amounts of biofuels feedstock land in Florida and several hundred employees.
Chaucer was selected through a challenging and highly competitive tendering process to provide Programme Management Office expertise, ensuring detailed planning and smooth execution of the pre and post acquisition integration activities.
Chaucer’s Scope
Our involvement in this project saw us:
• Define and implement a world class programme management office to provide delivery assurance to the client’s senior leadership.
• Define and implement a fit for purpose integrated project and programme management process to ensure the application of rigour and discipline throughout the acquisition lifecycle.
• Provide Chicago and San Diego based project management expertise to plan and deliver the pre-acquisition, interregnum and post-acquisition activities of a number of significant workstreams - including Commercial, Health & Safety, Operations, Human Resources, Information Technology, Research & Technology, Intellectual Property, Procurement, Finance, Communications & Engagement and local site plans for San Diego separation and Louisiana.
Pre-acquisition focus included project charter development, detailed planning, risk identification/assessment/mitigation, definition and validation of transition service agreements and the delivery of several cross-functional workshops to validate programme level activities, pace and prioritisation.
Interregnum focus included the transfer of employees from 19 carve-out projects, including bioinformatics systems, biotech samples, physical separation of laboratory spaces/assets, financial systems, building security systems and management of intellectual property rights.
We also provided arms-length project management support to the senior leadership of the JV partner and facilitated clear and transparent communication events with both acquired staff and those remaining with the JV partner.
Post-acquisition, our focus was on the delivery of the carve-out projects, implementation/management of transition service agreements and providing general support to San Diego site operations.
Benefits
The project was a complete success with pre-acquisition and post-acquisition deadlines comfortably met. Our flexible, effective and collaborative working style was recognised by the client as a key contributing factor in this accomplishment:
“The expertise, hard work and delivery you brought to our team was a significant success factor in the project, and I personally found your help and support invaluable” – Client’s Integration Manager
We also received praise for our focus on pre-acquisition, where our detailed planning not only enriched the deal due diligence and negotiation process but also set a solid foundation for the interregnum and post-acquisition phases.
The client business sponsor commented that the acquisition planning and implementation was the best he had experienced in his 20+ years career within the organisation.
Testament to our success, Chaucer was subsequently appointed to provide programme management support for a significant investment in the Brazil biofuels market.
