M&A Plan of Organisation, Systems and Processes
Description of Project
Chaucer’s help was enlisted to deliver a comprehensive, 20 man-day review of organisation, systems and processes of the four subsidiary businesses that make up JMH Lifestyle. Of these four businesses, two were existing, one newly acquired and one still to launch.
We were asked to establish a baseline by documenting the existing “as is”, then recommend a series of prioritised changes compatible with the centralised strategy of parent company, JMH Group.
Chaucer’s Scope
Chaucer was engaged for phase 1 of an ongoing series of projects, with our focus on reviewing the current operating model in terms of processes and technology. HR, Sales/Marketing and Supply chain were outside of our scope.
We conducted our in-depth research through explorative interviews with stakeholders and their representatives, identifying organisational structure and key product processes.
Further interviews were carried out to define the inherent process problem(s) and pinpoint potential operational improvements.
We presented our findings back to the client, along with a number of short and long term recommendations.
Benefits
Chaucer made the following recommendations as a result of its investigation.
Short – Medium Term (Inc quick wins)
- Implement consistent processes and documentation governing the primary Retail Operational systems including:
- Product hierarchy codes
- Training material & process charts
- Establish agreed IT support structure from parent group including SLA’s and escalation process.
- Urgent business analysis needed at Kilgour to understand business requirements.
- Manage the above change using an agreed project methodology.
Medium – Long Term
- Implement a standardised, centralised Accounting function. (This included options of either a localised UK based system or the finance module of an ERP system currently being implemented across the JMH Group).
- Replacement EPOS system for Kilgour
- Possible use of CRM system in the future.
The outline business case for the above recommendations was based on risk reduction, better MIS and cost reduction - but detailed business cases and ROI would be needed before formal project initiation.
We also proposed an outline Phase 2 implementation plan, estimating resource requirements and 60 man days of Chaucer project Management. This second phase would enable the implementation of short-medium term recommendations, plus the formulation of longer term plans.
